1. Please note all images are digitally marked, my copyright will be enforced. Use of any image without prior agreement will be charged at the full commercial rate as indicated by the NUJ Freelance guidance.A. Definitions: "PHOTOGRAPHER" refers to the creator of the IMAGES. "IMAGE" refers to the original digital output created by the PHOTOGRAPHER. "CLIENT" refers to the commissioning party or company named above, including its representatives and successors. “USE” refers to any reproduction of the PHOTOGRAPHER’S IMAGES.
   
   B. IMAGE Capture: All IMAGES will be produced digitally and provided to the CLIENT as JPEG files on CD/DVD or for download from my site.
   
   C. Copyright: pete marshall retains the copyright to all IMAGES, in perpetuity.
   
   D. IMAGE Credit: Credit must accompany all IMAGE reproductions and must read: “Photo © Year pete marshall.”
   
   E. Primary IMAGE USE: The CLIENT retains the right to USE all of the IMAGES for the CLIENT’S non-commercial publicity, in perpetuity. All other USES are subject to negotiation with the PHOTOGRAPHER.
   
   F. Secondary IMAGE USE: All outside requests for IMAGE USE of photographs must be directed to the PHOTOGRAPHER.
   
   G. Commercial IMAGE USE: All IMAGE USES intended for commercial purposes (i.e. articles for sale that incorporate any IMAGE) must be negotiated directly with the PHOTOGRAPHER.
   
   H. IMAGE Selection: The CLIENT retains the rights to select which IMAGES will be approved for USE, even when created in partnership with any outside entity.
   
   I. Partnership USE: Outside organizations partnering with the CLIENT are entitled to the USE of the same IMAGES selected by the CLIENT for a one-time fee to be agreed, payable to PHOTOGRAPHER. This USE includes the organization’s website, brochures, annual reports, and other self-publicity IMAGE USE. All IMAGE USE by partner organizations is governed by the terms and conditions of this document. Only the PHOTOGRAPHER will provide the IMAGES to the partner organizations.
   
   J. Subject/Model Releases: The PHOTOGRAPHER is not responsible for attaining Subject/Model Releases from individuals appearing in the IMAGES that may be required for commercial or other USE by the CLIENT.
   
   K. Payment: Full payment to the PHOTOGRAPHER is due within thirty days of the date of the assignment invoice (which shall accompany delivery of IMAGES).
   
   L. Licensing and Syndication: Licenses or permissions not expressly stated in this agreement shall not be implied, and all rights not expressly granted to CLIENT are reserved to PHOTOGRAPHER. No rights herein may be transferred, or assigned in whole or in part. No other USE rights are granted herein.
   
   IMAGE USE constitutes agreement to the terms above.
